Terms of Trade – Drake & Wrigley Ltd

1. Acceptance

• An Order means a request by you to purchase goods from us, either via our website or by written order.
• By placing an Order, you accept these Terms in full. No variation is binding unless agreed in writing.

2. Price & Payment

• All amounts are in NZD and exclude GST unless stated.
• Prices may change without notice; however, confirmed orders are charged at the price at time of dispatch.
• Payment in full is required prior to dispatch, unless otherwise agreed.
• We accept credit/debit cards, bank transfer, or approved methods.
• Any overdue amount incurs 2% per month interest and recovery costs.

3. Delivery & Risk

• Goods are delivered to the address you specify; delivery times are estimates only.
• Risk passes to you when goods leave our warehouse.
• You must inspect goods on arrival; damage or defect claims must be made within 5 days of delivery.

4. Retention of Title

• Ownership of goods remains with us until full payment is received.
• Until then, you hold goods as trustee and must identify them as our property.
• We may recover goods if payment is not made by the due date.

5. Warranties & Returns

• All products carry a 5-year mechanical warranty, excluding misuse, wear and tear, accidental, or installation damage.
• Claims for faulty or damaged goods must be lodged within 5 days. We may repair, replace, or refund at our discretion.
• Everything is made to order. No refunds or returns are available.
• These terms supplement, but do not limit, your rights under the Consumer Guarantees Act 1993.

6. Liability

• Our total liability for any claim is limited to the price of the goods.
• We exclude liability for indirect, consequential, or incidental loss except as required by law.

7. Intellectual Property

• All copyright, trademarks, and product designs remain our property.
• You must not reproduce or use our intellectual property without prior written permission.

8. Force Majeure

• We are not liable for delays or non-performance due to causes beyond our control, such as natural disasters, transport issues, or supply chain disruptions.

9. Privacy & Credit Reporting

• (Optional for B2B terms) Where a credit account exists, you consent to us collecting, using, and disclosing information for credit assessment and debt recovery, in compliance with the Privacy Act 2020.

10. Dispute Resolution

• You must first seek to resolve disputes with us through written notice and, if necessary, mediation.
• If unresolved after 30 days, either party may pursue proceedings in the New Zealand courts.

11. Governing Law

• These Terms are governed by the laws of New Zealand.
• Any legal action must be brought in the New Zealand courts.
